Terms of Service

These terms govern your use of HiroAI, the hosted platform on which you build, run and operate AI agents. By creating an account or using the service you agree to them.

Draft for legal review

This document has not been approved by Legal. It shows what the product does today so the review can start from the truth, and it is not yet a binding agreement.

1. What the service is

HiroAI is operated by Hiro Labz ("we", "us"). It is a hosted web console and API for building AI agents, giving them knowledge from documents you upload, connecting them to tools and channels you choose, and watching what they do through traces, evaluations and reports.

The service runs as one hosted product. There is no downloadable or customer-installed edition. Agents follow the instructions and limits you configure; they do not act outside a request you or your integration makes.

2. Accounts and workspaces

You need an account to use the service. You must give accurate registration details and keep your sign-in credentials and API keys confidential. You are responsible for everything done through your account and your workspace's keys.

A workspace is the unit of ownership. The person or organisation that creates a workspace owns its agents, documents, conversations and settings, and can invite members with roles that limit what they can do. If you are using the service on behalf of an organisation, you confirm you have authority to bind it to these terms.

You must be at least 18 years old, or the age of majority where you live, to create an account.

3. Acceptable use

You may use the service only for lawful purposes and in line with these terms. You must not:

  • Use the service to break the law, infringe another person's rights, or harass, defraud or harm anyone.
  • Upload or process content you have no right to use, including personal data you have no lawful basis to process.
  • Build agents that impersonate a real person or organisation without disclosure, generate spam, or produce material that is illegal where you or your end users are.
  • Probe, scan or attempt to breach the security or isolation of the service or of another workspace.
  • Resell, sublicense or offer the service as your own hosted product without a separate written agreement with us.
  • Interfere with the service's operation, including by circumventing rate limits, budgets or credit accounting.

4. Your content and your agents

You keep ownership of the prompts, documents, conversations and other content you put into the service, and of the outputs your agents produce for you. You grant us a licence to host, process, copy and transmit that content only as needed to run the service for you, to keep it secure, and to meet legal obligations.

You are responsible for what your agents say and do, for reviewing outputs before relying on them, and for any obligations you owe to your own end users. AI models make mistakes; the service gives you traces, guardrails and approval steps so you can supervise them, and it is your job to use them.

We do not use your content to train models of our own, and we do not send it to a model provider you have not selected.

5. Third-party model providers and connected services

Agents run on models from third-party model providers you select in your workspace. When an agent runs, the prompt, the relevant retrieved content and the conversation are sent to the provider you chose so that it can generate a response. Your use of each provider is also subject to that provider's own terms.

You can bring your own provider keys. Keys you store with us are encrypted at rest and are never shown back to you after you save them.

Tools and channels you connect (for example a CRM, a webhook endpoint or a website widget) act on your instructions. We are not responsible for the availability or behaviour of a third-party service you connect, and connecting one may send your data to it.

6. Credits, plans and billing

Usage is metered in credits. Each agent run, model call and other metered action consumes credits according to the rates shown in the console. Plans include a monthly credit allowance; additional credits may be bought where the console offers them. Credits have no cash value and are not refundable except where the law requires it.

Paid plans renew automatically until cancelled. Prices, allowances and rates may change; we will tell you before a change applies to a renewal. If a payment fails, we may suspend metered actions until it is settled.

Test mode separates your test agents, keys and data from your live ones so that you can try things safely. Test mode is a data boundary, not a free tier: runs in test mode consume credits in the same way as live runs unless the console states otherwise.

7. Availability, changes and preview features

We work to keep the service available and to tell you about planned maintenance, and we do not promise any particular availability level in these terms. Features marked preview, beta or experimental may change or be withdrawn at any time and may not behave reliably.

We may change the service, and we may stop offering a feature. Where a change materially reduces what you paid for, we will tell you and, where appropriate, offer a remedy.

8. Our intellectual property

The service, its software, design and documentation belong to Hiro Labz and its licensors. These terms give you a limited, revocable, non-exclusive right to use the service. They do not transfer any ownership to you, and you must not copy, reverse engineer or build a competing product from the service except where the law allows it.

Feedback you give us about the service may be used by us without obligation to you.

9. Disclaimers and limitation of liability

The service is provided as is. To the extent the law allows, we disclaim all implied warranties, including fitness for a particular purpose and non-infringement. Outputs generated by AI models may be inaccurate, incomplete or unsuitable; you use them at your own risk.

To the extent the law allows, we are not liable for indirect, incidental, special or consequential loss, or for lost profits, revenue or data, and our total liability arising out of the service in any twelve-month period is limited to the amount you paid us for the service in that period.

Nothing in these terms limits liability that cannot be limited by law.

10. Suspension and termination

You may close your workspace at any time from the console. We may suspend or terminate access if you break these terms, if we are required to by law, or if your use puts the service or other customers at risk. Where practical we will warn you first.

On termination your right to use the service ends. Sections that by their nature should survive (including ownership, disclaimers and limitation of liability) continue to apply.

11. Governing law and disputes

These terms are governed by the laws of [to be completed by Legal]. Any dispute will be resolved in the courts of [to be completed by Legal], unless applicable consumer law gives you the right to bring a claim where you live.

12. Changes to these terms

We may update these terms. The version number and effective date at the top of this page tell you which version applies. For material changes we will give notice in the console or by email before they take effect. Continuing to use the service after the effective date means you accept the updated terms.
